Silgan and American Industrial Partners to acquire Trivium Packaging in $3.4B deal
What happened
On Monday, October 19, 2026, U.S. packaging maker Silgan Holdings (NYSE: SLGN) announced it will acquire Trivium Packaging B.V. together with funds affiliated with private equity firm American Industrial Partners (AIP) in an all-cash deal that values Trivium at an enterprise value of approximately $3.4 billion (7.1x LTM adjusted EBITDA, or 4.8x including $225 million of expected synergies). Silgan will combine its Metal Containers segment and its Food and Beverage Flat Cap Closures businesses with Trivium to create Silgan Metal Containers and Closures (Silgan MCC), a global metal-packaging business valued at $7.3 billion with operations principally in North America and Europe. Silgan will receive roughly $2.3 billion in cash proceeds (to be used to retire existing debt) and retain a 60% controlling stake; AIP will invest about $1 billion for a 40% stake, with the balance funded by committed debt financing. Silgan expects the deal to be at least 15% accretive to adjusted EPS and free cash flow, with $225 million in annual synergies by year three ($75M in year one, $150M in year two). The transaction is expected to close mid-2027, subject to regulatory approvals. Silgan also reaffirmed its full-year adjusted net income per share forecast.
